Head of Governance Remediation - Legal

As our Head of Governance Remediation, reporting to the Group Chief Legal Officer, you will provide confidential governance and secretariat advice and services to the Company, its subsidiaries and its joint ventures, with a specific focus on governance remediation.
This is a fantastic opportunity where you will lead the Governance Remediation stream of the Star’s Remediation Plan and play a pivotal role in the organisation’s return to suitability.
A few of your responsibilities:
- Active hands-on role involving cross function collaboration to drive the Governance Remediation programme and deliver critical milestones (aligning with a dedicated programme manager and the Group Chief Legal Officer and COO)
- Ensure strategic oversight of the governance plan and enhance the strategic plan over time
- Oversee/prepare and finalise all critical governance material and artefacts for the Governance Remediation Stream
- Prepare high quality written submissions to Regulators on the progress of the plan and other regulatory and governance submissions
- Collaborate closely with the Group Governance team and provide assistance when additional resourcing is required (e.g. busy times such as AGM, multiple subsidiary meetings, fully year and half year results)
- Provides ad hoc confidential governance and secretariat advice and service
- Coordinate the preparation and distribution of board and/or committee (including for subsidiary companies and joint ventures) papers, agendas and minutes as requested by the Company Secretary
Please note this opportunity is for a 12-month contract.
What we are looking for:
- Extensive experience in corporate governance and corporate secretariat (minimum 10 years’ experience as Company Secretary, In-house counsel or equivalent in a dedicated corporate governance consultancy)
- Detailed understanding of ASX Corporate Governance Principles and ASX Listing Rules with demonstrated practical hands-on experience
- Tertiary qualification in law (additional qualifications in governance preferred i.e. AICD or GIA)
- Exceptional report preparation and drafting skills with the capability to draft (or amend) full suite of governance documents (constitutions, charters, briefing papers, resolutions, legal and governance agreements)
- Exposure to external share registry management
- Excellent verbal and written communication and presentation skills
About you:
You consistently demonstrate a high level of integrity and a strong work ethic, comfortable working autonomously as well as collaboratively to meet firm deadlines. You are a governance subject matter expert and able to confidently guide discussions, provide advice and also “jump on the tools” when required. You understand the level of confidentially required in a highly regulated environment undertaking remediation and excel at developing and enriching key relationships.
Your role will be pivotal in shaping the success of our governance obligations and meeting our remediation plan milestones.
